EMAG Bylaws

Attention All EMAG Members: Proposed By-Laws Changes are posted for your review following requirements stated in Article XVII, Amendments; Section 1.

“These By-Laws may be amended by two thirds (2/3) vote of the active, present and registered members at the annual meeting of the Association, provided that notice of any such proposed amendment shall be posted on the Association website at www.emagonline.com for at least thirty (30) days in advance of said meeting. A request for hard copy may be made to the Association Secretary at any time. Proposed amendment changes must be submitted to the By-Laws Committee at least sixty (60) days in advance of the annual meeting.”

The By-Laws are attached in their entirety as they were submitted and reviewed by a licensed attorney, Stuart Sims, (pro-bono) for recommendations. Most recommendations are grammatical which does not require a vote.

Please review Article XI, Meeting: Section 2, Site Committee, which changes the amount of locations for the annual meeting that can be recommended by the Site Committee from “one” to “at least two”. This was approved in the EMAG Executive Board Meeting on September 26, 2007: A motion was made by Jim Anderson to accept the ByLaws as written with the additional recommendation; seconded by Jim Ellis. Motion carried.

Please review Article V, Membership Dues; Section 1, Active Members, which changes the amount of dues. At the EMAG Executive Board Meeting on August 27, 2007: A motion was made by VP Anderson to double both the EMA Director’s (currently “$25” to “$50”) and the staff’s membership fees (currently “$5” to “$10”). Richard Strickland seconded. Discussion included that dues have been the same since the association’s conception 49 years ago. The motion carried unanimously.
